Terms of Service

1. Acceptance of Terms

By accessing or using the Nexum Health platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Services

Nexum provides a cloud-based healthcare claim scrubbing and billing management platform. Our services include claim validation, error detection, billing workflow management, reporting, and integration with practice management and clearinghouse systems. The specific features available to you depend on your subscription plan.

3. Account Terms

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You may not share account credentials or allow multiple individuals to use a single account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

Fees are based on your selected subscription plan and are billed monthly or annually as agreed. All fees are non-refundable except as required by law or as explicitly stated in your service agreement. We may adjust pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your access to the Service.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain all rights to the data you submit to the Service. We will not access, use, or disclose your data except as necessary to provide the Service, as required by law, or as authorized by you. For customers who are HIPAA covered entities, data handling is governed by our Business Associate Agreement.

6. Intellectual Property

The Service, including all software, algorithms, designs, and documentation, is owned by Nexum Health and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Nexum Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the fees paid by you in the twelve months preceding the claim. The Service is a tool to assist with claim management and does not guarantee claim acceptance or payment by any payer.

8. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be deleted.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
